Practice
Jeffrey N. Ostrager focuses his practice on the representation of public companies, including equity and debt financings, cross-border offerings, corporate governance, SEC compliance and general corporate matters. Mr. Ostrager also devotes a substantial part of his practice in representing public and private clients in mergers and acquisitions.
Mr. Ostrager is Chairperson of the Firm’s International Securities Practice Group and is a member of the Firm’s Strategic Planning Committee.

Representation of Flextronics International Ltd. in its acquisition of Solectron Corporation, a NYSE listed company, in a transaction valued at approximately $3.6 billion. This transaction closed in October 2007.

Representation of Flextronics in its $2.0 billion revolving credit facility with Bank of America, N.A., as Administrative Agent, which closed in May 2007, and its $1.759 billion term loan B facility with Citibank N.A., as Administrative Agent, which financed the acquisition of Solectron Corporation.

Representation of the Bolivarian Republic of Venezuela in a cross-border tender offer conducted simultaneously in the United States and Venezuela to acquire control of Compañía Nacional Teléfonos de Venezuela (CANTV) and in connection with a related purchase agreement to acquire the approximate 28.5% stake of Verizon Communications Inc. The transaction was completed in May 2007.

Representation of Access Industries, a privately-owned industrial group, in the sale of its 25% + 1 share stake in Svyazinvest, the Russian national telephone company, to OAO Comstar United Telesystems. The transaction closed in December 2006.

Representation of Flextronics International Ltd. in its acquisition of International DisplayWorks, a Nasdaq listed company, in a transaction valued at approximately $300 million. This transaction closed in November 2006.

Representation of Flextronics International Ltd. in the sale of its software solutions business to KKR in a transaction valued at $900 million. The transaction closed in September 2006.

Representation of Flextronics International Ltd. in the merger of its network services business with the Telavie network services business owned by Altor Equity Partners, a Nordic private equity firm. The combined business now operates under the Relacom name. The transaction closed in August 2005.

Representation of the federal Air Transportation Stabilization Board (ATSB) in the implementation of its loan guarantee program supporting U.S. air carriers following the September 11, 2001 terrorist attacks. The ATSB representation has included transactions totaling US$1.7 billion in loans to US Airways, Frontier Airlines, America West Airlines, Aloha Airlines and American Trans Air, and has involved equity investments by the ATSB in each of the borrowers.
