Project Finance in the International Petroleum and Power Industries

The Firm has had the opportunity to play a leading role in the design and implementation of major project finance transactions in the international petroleum and power industries. Its work in this area has included legal structuring and the development of new forms of transactions to adapt internationally known structures to local legal requirements; development of bidding guidelines and legal administration of international public bidding processes; drafting of power purchase agreements and other supply contracts forming the basis for the project financing; drafting and negotiation of other project documents, including security agreements, agreements among consortium members and agreements with suppliers and engineering, procurement and construction contractors; and negotiation and drafting of financing agreements.

The following transactions are illustrative of the Firm’s practice in this area:

  • Build, own and operate transaction involving the construction and operation of the world’s largest nitrogen production plant and an 80-kilometer submarine pipeline for the transportation of nitrogen to an offshore delivery point.
  • Contracts implementing a US$5 billion multirefinery reconfiguration and modernization program, including new forms of public works contracts involving project financing of the works, with two of such project financings exceeding US$3 billion in the aggregate.
  • Acquisition of 50% interest in a major fuels refinery followed by project financing of a billion-dollar refinery upgrade program.
  • Build, own and operate transaction involving the construction and operation of a permanently moored floating storage and offloading system for crude oil having a storage capacity of 2.3 million barrels.
  • Build, own and operate transaction involving the construction and operation of an offshore gas compression station having a capacity of 250 million standard cubic feet per day.
  • Long-term natural gas supply contract in connection with the construction of a cogeneration facility having a capacity of 120 MW.
  • Long-term product supply arrangements supporting the construction of a 200,000 metric ton per year propylene production facility.
  • Long-term ethylene oxide supply arrangements supporting the construction of a monoethylene glycol production facility.
  • Financing arrangements for a 522-MW combined cycle gas-fired power plant to be constructed in a build, lease and transfer transaction.
  • Independent power project involving a 484-MW combined cycle gas-fired power plant, followed by a program for ten additional independent power projects having an aggregate capacity of approximately 3500 MW.
  • Build, own, operate and transfer agreement and bond financing for construction of a port for coal offloading and related facilities for transportation, storage and blending of coal for existing power facilities with a combined capacity of 2,100 MW.
  • Build, lease and transfer bid packages for three separate combined cycle gas-fired power plants, each having a minimum capacity of 405 MW.
  • Build, lease and transfer bid packages for 18 separate transmission lines (115, 230 and 400 kV) totaling 1,752 kilometers.
  • Build, lease and transfer bid package for two underwater transmission cables (34.5 and 115 kV) totaling 91 kilometers.
  • Build, lease and transfer bid package for a geothermal power plant of 100 MW.
  • Build, own and operate agreement for construction of a 700-kilometer natural gas pipeline.
  • Build, own and operate agreement for construction of a 30-kilometer, cross-border natural gas pipeline.
  • Natural gas fuel supply agreement for development of a 35-MW cogeneration power plant.
  • Consortium arrangements for bidding on independent power project for 100-MW power plant.
